Introduction

This Membership Agreement (“Agreement”) is between you (the “Member”) and High Achievers Lab C.I.C., a company registered in England and Wales (registration number 13878492), (“High Achievers Lab”, “HAL”, “us”, or “we”). By completing the online joining process on our website and becoming a Member, you accept all terms and conditions in this Agreement, the High Achievers Lab Membership Rules, and the High Achievers Lab Member Health and Safety Agreement. You should only join if you have read and agree to all terms.

Definitions

  • Membership Rules: Rules governing Member conduct, available at [Membership Rules].

  • Member Health and Safety Agreement: Health and safety obligations, available at [Health and Safety Agreement].

  • Membership: Your contractual relationship with HAL, which may include:

    • Monthly Membership: Recurring monthly payments for ongoing access.

    • Packages: Single class or block of classes (e.g., 5 or 10 Class Pass) paid in advance.

    • Membership Amount: The upfront fee for fixed-term memberships.

    • Monthly Membership Amount: The recurring monthly fee for certain memberships.

    • Promotional Rate: An introductory or discounted rate for a limited period or not, as specified during the joining process.

Starting Your Membership

  1. Joining Process: Memberships are processed online via our partner’s platform (TeamUp). Full pricing and options are available at TeamUp and during the joining process. By completing the process, you agree to this Agreement, the Membership Rules, and the Member Health and Safety Agreement.

  2. Agreement Start: This Agreement begins when you accept the terms during the online joining process and confirm payment. You agree to pay any applicable Membership Amount or Monthly Membership Amount, subject to any Promotional Rate for a limited period, as displayed before confirming payment.

  3. Compliance: You agree to comply with the Membership Rules and Member Health and Safety Agreement, including proper use of HAL’s facility and equipment. Consult staff if unsure about equipment use. HAL is not liable for injuries caused by incorrect use of equipment or facilities.

  4. Age Requirement: You confirm you are at least 18 years old. Valid proof of age may be requested, and failure to provide it may result in membership termination.

  5. Damage Liability: You are liable for any damage to HAL’s equipment or facility caused by your negligent or improper use.

  6. Personal Information: You agree to update HAL immediately via the online Member Area if your contact or personal details change.

Member Health and Safety

  1. Health Declaration: You confirm the declarations in the Member Health and Safety Agreement, including:

    • The accuracy of information provided.

    • Your responsibility to consult a medical professional if you have health concerns before participating.

    • Your good health and ability to engage in exercise, with immediate notification to HAL if this changes.

  2. HAL's Commitments: HAL will:

    • Maintain a safe, inclusive environment with a zero-tolerance policy for harassment, discrimination, or misconduct.

    • Ensure staff and instructors are trained to fitness industry standards.

    • Respect your training decisions but may intervene if exercise exceeds your reasonable ability.

    • Keep your health information confidential, except where required by law or for safety.

  3. Assumption of Risk: You acknowledge the inherent risks of injury in HAL sessions or facility use and assume such risks, as detailed in the Member Health and Safety Agreement.

Zero-Tolerance for Misconduct

  1. HAL is committed to a safe, respectful, and supportive environment. Any behaviour that is aggressive, abusive, harassing, discriminatory, threatening, or otherwise compromises member or staff safety, including sexual misconduct, will result in immediate membership termination and potential reporting to authorities.

  2. Members are encouraged to report concerns to HAL staff or via our anonymous suggestion box (available at [BOX]). Reports will be handled confidentially and impartially, with no tolerance for retaliation.

Changing Your Membership

  1. Modifications: Some membership types allow changes, subject to fees as outlined on our website.

  2. Freezing/Pausing Membership:

    • You may freeze your membership for 1-12 months for the following reasons only:

      • Pregnancy

      • Illness or injury (a doctor’s certificate may be required; minimum freeze period is 1 month)

      • Redundancy (not applicable to 5 or 10 Class Passes or during the initial pre-paid period of Discount Memberships)

    • Requests must be submitted via email, including any required documentation.

    • Freezes begin on the date of receipt and cannot be backdated. No refunds will be issued for prior payments.

    • Membership resumes on your specified date, with Direct Debit payments restarting. If prices increase during the freeze, the new rate applies upon resumption.

    • For freezes exceeding 6 weeks, your original membership type may not be guaranteed, and you may be placed on a different membership until a spot is available, with any fee difference credited.

  3. Discounted Memberships: Changing or terminating a discounted membership (e.g., Promotional Rate) waives the discount, and standard rates apply for new or resumed memberships.

Payment

  1. Recurring Payments: For Monthly Memberships, you agree to maintain a Direct Debit (or recurring international credit card payment for overseas members) for the Monthly Membership Amount, due on the date shown during the joining process and monthly thereafter.

  2. Promotional Rates: If applicable, you agree to pay the Promotional Rate during the introductory period, after which the standard Monthly Membership Amount applies.

  3. Price Changes: HAL may adjust the Monthly Membership Amount with at least 3 weeks’ email notice. You may cancel within this period; otherwise, the new rate applies automatically.

  4. No Refunds for Interruptions: No refunds will be issued for temporary service interruptions, foreseen or unforeseen, including facility closures.

  5. Payment Processing: Payments are processed via a third-party platform (TeamUp). By making a booking, you enter their secure payment system and are subject to their terms. HAL is not liable for damages related to their services.

Ending Your Membership

  1. Member Cancellation: Monthly Memberships can be canceled with at least 7 days’ notice before the next billing date, ending at the end of that billing cycle. Notice within 7 days results in one additional payment, with membership ending the following billing cycle. No refunds are given for unused periods. Contact our member service team to continue using HAL until the billing cycle ends; otherwise, access ceases immediately upon cancellation.

  2. HAL Termination: HAL may terminate your membership immediately if:

    • You fail to pay any Membership Amount or Monthly Membership Amount when due.

    • You breach the Membership Rules or Member Health and Safety Agreement.

    • Your membership poses a risk to the health or safety of members or staff.

    • In such cases, access to HAL sessions and facilities will cease, and no refunds will be issued for unused periods.

  3. Events Beyond Our Control: If HAL cannot provide services for over 30 consecutive days due to reasons beyond our control (e.g., natural disasters, government actions, epidemics, or facility eviction), you or HAL may cancel the membership with written notice. No compensation is due in these circumstances.

Our Responsibility for Loss or Damage

  1. Liability: HAL is responsible for foreseeable loss or damage caused by our breach of this Agreement or failure to use reasonable care and skill. We are not liable for unforeseeable losses or damages.

  2. Limits: Liability for loss or damage (other than death or personal injury) is limited to a reasonable amount, considering factors like our negligence.

  3. Exclusions: We do not exclude liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation. We are not liable for:

    • Loss or damage to property unless caused by our negligence.

    • Losses from service changes unless caused by our negligence.

    • Injuries from failure to consult a medical professional before participating.

Managing Your Permissions and Data

  1. Necessary Communications: HAL will send essential email and SMS communications related to your Membership. You cannot opt out of these, as they are required to fulfil our contractual obligations. You may opt out of promotional communications, but HAL is not responsible for any loss from missing class-related updates.

  2. CCTV: For safety, security, and crime prevention, HAL operates 24-hour CCTV at our facility. Footage is captured, processed, and retained per our Privacy and CCTV Policy.

  3. Data Storage: Personal data, including membership details, is securely stored per our Privacy Policy.

  4. Contact: Address queries or concerns via email, quoting the email address we hold for you.

Special Terms for Concessions

  1. Discounts: A 10% discount is available for key workers and low-income members on Monthly Memberships, single classes, and 5/10 Class Passes. Students and key workers must provide valid proof of status (e.g., student ID or employment proof) upon request. Discounts are for personal use only and may be terminated if misused or if eligibility ends.

Media Consent

You consent to HAL using photos, audio, or video recordings of your participation in sessions or at the facility for promotional purposes (e.g., social media, advertisements) without compensation. You may withdraw consent at any time by email.

Additional Services

HAL may offer complimentary services, such as inductions or training reviews, at no additional charge.

Other Clauses

  1. Personal Agreement: Only you, the named Member, may benefit from this Agreement.

  2. Severability: If any term is invalid, unenforceable, or illegal, the remaining terms remain enforceable.

  3. Changes: HAL may reasonably update this Agreement, Membership Rules, or Member Health and Safety Agreement. Email regularly for updates.

  4. Governing Law: This Agreement is governed by the laws of England and Wales.

  5. Record Keeping: Print or save a copy of this Agreement for your records.
